This acquisition stems from the petrochemical expansion plan of PKN ORLEN several years ago, which was originally independent of PKN ORLEN's control system. The completion of this transaction further enhances the operational safety and flexibility of the project, helping the group optimize the construction of monomer production facilities while improving the production capacity layout of core products such as ethylene oxide and ethylene glycol.
On December 29, 2025, the Polish Oil and Gas Group (referred to as "PKN ORLEN") and the SENSUS Group officially signed an agreement to fully acquire S54, the company responsible for constructing the new butadiene extraction unit. Upon completion, this unit will be integrated into PKN ORLEN's Płock production base, helping the group improve its petrochemical industry chain. The transaction is valued at approximately 692 million Polish złoty.
PKN ORLEN CEO Ireneusz Fafara stated that this transaction successfully resolved the legacy issues related to the Olefins III project and butadiene unit investment, marking a new stage of cooperation between the two parties. Through this acquisition, PKN ORLEN has regained full control of the unit, not only clearing obstacles for the advancement of the group's "New Chemical Plan" but also laying a solid foundation for establishing a transparent and mutually beneficial long-term cooperative relationship between the two parties.
It is reported that after the butadiene extraction unit constructed by S54 is put into operation, it will fully process C4 fractions, and the produced raffinate can be directly supplied to downstream petrochemical processes. During this cooperation, the two parties simultaneously signed multiple agreements and contract amendments, comprehensively standardizing their legal and commercial cooperative relationship. The scope of cooperation has been further extended to the Czech market, not only advancing the deadline for the Kralupy butadiene joint venture and related raw material contracts from 2049 to 2038 but also extending the two-year offtake period for ethylene and benzene products in the Czech market.
